3. Project Terms and Payment
All projects require a signed agreement and initial deposit before
work commences. Payment terms are typically structured as follows: 50%
deposit upon project initiation, 25% upon design approval, and 25%
upon project completion. Payment is due within 14 days of invoice date
unless otherwise specified. Late payments may incur interest charges
of 1.5% per month. We accept payment via bank transfer, credit card,
PayPal, or other agreed-upon methods. Project timelines are estimates
and may be adjusted based on client feedback, scope changes, or
unforeseen circumstances. Any additional work beyond the agreed scope
will be quoted separately and requires client approval before

4. Client Responsibilities

5. Intellectual Property Rights
Upon receipt of full payment, clients receive ownership of the final
approved designs and custom code created specifically for their
project. Valkorenllis retains the right to display completed work in our
portfolio and marketing materials unless a non-disclosure agreement
specifies otherwise. Third-party components, plugins, frameworks,
stock images, and pre-existing code libraries remain the property of
their respective owners and are licensed for use in the client's
project. Valkorenllis retains ownership of all preliminary designs,
concepts, and working files not included in the final deliverables.
Any reuse of our work processes, methodologies, or proprietary tools
requires written permission.
6. Revisions and Modifications
Each project package includes a specified number of revision rounds as
detailed in the project agreement. Additional revisions beyond the
included amount will be charged at our standard hourly rate. Major
scope changes or functionality additions will require a separate quote
and agreement amendment. Revisions must be requested within 30 days of
initial delivery. We strive to accommodate reasonable revision
requests promptly, but extensive changes may extend project timelines.
After final approval and project delivery, any modifications to the
live website will be considered separate maintenance work and billed

7. Website Hosting and Maintenance
Unless otherwise specified, clients are responsible for arranging
their own website hosting and domain registration. We can recommend
trusted hosting providers and assist with setup if needed. Website
hosting, domain renewal, SSL certificates, and third-party service
subscriptions are not included in our design packages and are billed
separately or paid directly by the client. We offer optional ongoing
maintenance packages that include regular updates, security
monitoring, backups, and technical support. Without a maintenance
agreement, we cannot guarantee the continued functionality of websites
after delivery, particularly as third-party components require updates

8. Warranties and Disclaimers

our business relationship without explicit permission, except as

However, general project information necessary for portfolio display
is not considered confidential unless specified in writing. Both

11. Termination
Either party may terminate the agreement with written notice. If the
client terminates the project, they are responsible for payment of all
work completed to the termination date, plus any non-refundable
expenses incurred. Deposits are non-refundable. If we terminate the
agreement due to client breach of terms, non-payment, or failure to
provide necessary materials despite repeated requests, all completed
work and payments to date are forfeited. Upon termination, we will
provide all completed and approved work files, but are not obligated
to provide working files, preliminary designs, or unfinished
materials.
12. Governing Law

Capital Territory and the Commonwealth of Australia. Any disputes
arising from these terms or our services shall be subject to the

copyright investigations, or legal clearance of materials provided by
clients. If you provide materials that infringe on third-party
intellectual property rights, you agree to indemnify and hold Valkorenllis harmless from any resulting claims, damages, or legal costs. We
recommend consulting with intellectual property attorneys if you have
questions about the legal use of any materials. Stock photos, icons,
and design elements used in projects are properly licensed for
commercial use, but clients must maintain active licenses for any
premium resources that require ongoing subscriptions.

Clients are solely responsible for the content displayed on their
websites, including but not limited to text, images, videos, products,
services, pricing, descriptions, statements, claims, testimonials, and
any other information. Valkorenllis is not responsible for the accuracy,
legality, or appropriateness of client-provided content. We do not
verify factual claims, product descriptions, professional credentials,
certifications, testimonials, or compliance with industry-specific
regulations. Clients must ensure their content complies with all
applicable laws including but not limited to consumer protection laws,
advertising standards, privacy regulations, accessibility
requirements, professional licensing requirements, and
industry-specific regulations. We are not liable for any claims,
penalties, or legal issues arising from client content, business
practices, or regulatory non-compliance.
13. Force Majeure
Valkorenllis shall not be held liable for any failure or delay in
performance due to circumstances beyond our reasonable control,
including but not limited to: acts of God, natural disasters, war,
terrorism, civil unrest, labor disputes, government actions,
pandemics, power failures, internet service disruptions,
telecommunications failures, server failures, third-party service
outages, cyber attacks, or any other events beyond our reasonable
control. In such circumstances, our obligations will be suspended for
the duration of the force majeure event, and we will make reasonable
efforts to resume performance as soon as practicable. If a force
